These Terms of Service ("Terms") govern access to and use of TrueRead.io (the "Service"), provided by TrueRead Inc. ("TrueRead," "we," "us," or "our"). The Service is offered as a third-party application for use within the GoHighLevel ("GHL") platform. By installing, accessing, or using the Service, you ("Customer," "you," or "your") agree to be bound by these Terms. If you do not agree, do not use the Service.
TrueRead.io is a software application that integrates with a Customer's GoHighLevel sub-account via GHL's API to provide the features described on our marketplace listing or website. Use of the Service requires an active GoHighLevel account and Customer's authorization of the requested API scopes.
You must be at least 18 years old and have authority to bind the business on whose behalf you use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account.
By installing the Service, you authorize TrueRead.io to access your GHL sub-account data as described in our Privacy Policy, on a read-only basis unless a specific feature requires and you separately authorize write access. You may revoke this authorization at any time by uninstalling the Service from your GHL account, which will stop further access. TrueRead is not responsible for GoHighLevel's platform availability, API changes, or acts and omissions of GoHighLevel as a separate, independent company.
The Service is offered on a paid subscription basis as described at checkout. Fees are billed in advance on a recurring basis (monthly or annually, as selected) through our payment processor, Stripe, and are non-refundable except as required by law or expressly stated at the time of purchase. Subscriptions renew automatically unless cancelled prior to the renewal date. We may change our fees on prospective billing cycles with reasonable advance notice.
You agree not to:
TrueRead retains all right, title, and interest in and to the Service, including all software, designs, and documentation. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service during your subscription term for your internal business purposes. You retain ownership of your own business data; you grant TrueRead a limited license to process that data solely to provide the Service.
The Service relies on and interoperates with third-party platforms, including GoHighLevel and our infrastructure and payment providers (such as Amazon Web Services and Stripe). We are not responsible for the availability, security, or performance of these third-party services, and your use of them is subject to their own terms.
Each party will protect the other's confidential information with reasonable care and use it only as necessary to perform under these Terms. Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. TRUEREAD DOES NOT WARRANT THE ACCURACY OR COMPLETENESS OF DATA RETRIEVED FROM GOHIGHLEVEL OR OTHER THIRD-PARTY SOURCES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUEREAD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. TRUEREAD'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO TRUEREAD FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You agree to indemnify and hold TrueRead harmless from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights, including GoHighLevel's terms or applicable data protection laws.
These Terms remain in effect while you use the Service. Either party may terminate a subscription as permitted under the applicable billing terms. We may suspend or terminate your access immediately if you breach these Terms, misuse the Service, or if required to comply with GoHighLevel's marketplace policies. Upon termination, your right to use the Service ceases, and we will handle any retained data as described in our Privacy Policy.
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Florida, and the parties consent to personal jurisdiction and venue there.
We may modify these Terms from time to time. Material changes will be communicated by posting updated Terms with a new effective date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
